Terms of Service

1. Acceptance

By creating an Osillation account, accepting an invitation to an organization, or using the service in any other way, you agree to these Terms of Service and to our Privacy Policy. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity.

If you do not agree to these terms, do not use Osillation.

2. The service

Osillation is a multi-tenant SaaS platform operated by Osillation. It provides project management, deals and CRM, document storage, payslips and HR, finance, and an AI Engineering Agent that reads connected GitHub repositories and produces pull requests on your behalf.

We may add, change, or remove features over time. We will give reasonable notice before removing a feature you depend on.

3. Account responsibility

You are responsible for keeping your credentials safe. Pick a strong password, do not share it, and enable any additional security controls Osillation offers (such as Google sign-in).

One human per account. Shared accounts are not permitted; invite each teammate as their own user.

Organization owners are responsible for the data inside their organization, for the conduct of members they invite, and for ensuring their use of Osillation complies with the laws that apply to their business.

4. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of Osillation or the AI agent.
• Probe, scan, or attempt to access data belonging to other tenants. Osillation is multi-tenant; isolation is enforced in code, and bypassing it is a serious violation.
• Use Osillation to send spam, distribute malware, harass other people, or commit any other illegal activity.
• Resell Osillation or use it to operate a competing service without written permission.
• Upload content you do not have the right to upload, including copyrighted material or someone else's personal data without a lawful basis.

If you sign in with Google, you also agree to comply with Google's API Services User Data Policy, including the Limited Use requirements.

5. AI agent terms

When you use the AI Engineering Agent, it reads source code from the GitHub repository you connect and may produce commits and pull requests on your behalf. The agent acts on your authorization and inside the permission scope you granted via the GitHub App installation.

You retain copyright on the code the agent produces from your repository. The agent's output is treated as a co-authored work between you and the model; on a practical level, you own and control everything the agent commits to your repo.

You are responsible for reviewing every agent-produced commit before merging. We do not warrant that agent output is bug-free, secure, production-ready, or fit for any particular purpose. The agent is a tool, not a substitute for engineering judgment.

We do not retain prompts or completions sent to your AI provider beyond the audit log. See the Privacy Policy for the full data flow.

6. Subscription and billing

Osillation has three tiers:

• Free: free forever, up to 5 users, no credit card required.
• Pro: monthly per-seat billing. Cancel any time; we issue pro-rated refunds for the remainder of a paid month if you cancel mid-cycle.
• Enterprise: annual contract with custom terms. Contact sales for pricing.

Billing is based on active users. Pending invitations, deactivated accounts, and seats idle for 30 or more days are not charged.

You authorize Stripe to charge the payment method on file. Failed charges trigger a notification and a 14-day grace period before access is restricted.

7. Termination

You can terminate at any time by deleting your organization from settings. You may also leave an organization as a member without deleting it.

We may suspend or terminate your account if you violate these terms, if your payment method fails repeatedly, or if continuing to serve you would expose Osillation or other customers to legal or security risk.

On termination, you have a 30-day window to export your data from the in-app export tool. After 30 days, your data is permanently deleted from active systems. Backups containing your data are purged within an additional 30 days.

8. Warranties

Osillation is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Osillation disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted or error-free.

We work hard to keep Osillation reliable, but we do not guarantee any specific uptime outside of an Enterprise SLA.

9. Limitation of liability

To the maximum extent permitted by law, Osillation's total liability arising out of or relating to these terms or the service is capped at the fees you paid Osillation in the 12 months immediately preceding the event giving rise to the claim. For free users, the cap is one hundred US dollars (USD 100).

Osillation is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

10. Indemnification

You agree to defend, indemnify, and hold harmless Osillation, its affiliates, and its officers, directors, employees, and agents from any claim, demand, or damages (including reasonable legal fees) arising out of your use of Osillation, your customer content, your violation of these terms, or your violation of any third-party right.

11. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these terms or the service will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Alternatively, either party may elect to resolve the dispute by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Delaware.

12. Changes to these terms

We will notify you by email and in-app banner at least 30 days before any material change to these terms takes effect. Continuing to use Osillation after the effective date constitutes acceptance of the updated terms.
